Subscription Terms

These SaaS Subscription Terms (“Subscription Terms”) govern your subscription to and use of the Solmarkt Design Tools, Proposal Studio, CRM Studio, and related software-as-a-service application products (collectively, the “Service” or “Software”) operated by Solmarkt Technologies Private Limited(“we,” “us,” or “our”).

By purchasing a subscription, activating an account, or using the Service, you agree to be bound by these Subscription Terms in addition to our main website Terms of Use and Privacy Policy. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

1. Definitions and the Service

The Service refers to the cloud-hosted software applications, including solar 3D roof design tools, shadow analysis tools, bill of materials (BOM) export tools, proposals generator, and CRM tools made available to subscribers. Users are granted a limited, non-exclusive, non-transferable, and revocable license to access the Service during the duration of their active subscription plan.

2. Subscription Plans and Billing

We offer various subscription tiers (such as monthly or annual plans) with different feature limits and user counts. You agree to pay all applicable subscription fees in accordance with the pricing set out at the time of subscription.

  • Recurring Billing: Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) starting from the date of activation.
  • Payment Method: Payment is processed through authorized third-party payment gateways, including Razorpay. You must provide valid, accurate, and up-to-date payment information.
  • Taxes: All fees are exclusive of applicable taxes (including GST where applicable), which will be charged in addition to the subscription fees.

3. Auto-Renewal and Cancellation

To avoid interruption of the Service, your subscription will renew automatically at the end of each billing cycle for an identical duration, unless you cancel it before the renewal date.

You may cancel your subscription auto-renewal at any time through your Billing Settings on the Platform. Following cancellation, you will retain access to the Service until the end of your current pre-paid billing cycle, at which point your subscription and access rights will terminate.

4. Refunds

All payments and subscription fees are non-refundable. Please refer to our Refund Policy for full details regarding our zero-refund commitment.

5. Price and Plan Changes

We reserve the right to modify subscription fees or structure our subscription plans at any time. We will provide you with at least thirty (30) days' advance notice of any price changes. Continued use of the Service after the price change takes effect constitutes your consent to the updated pricing.

6. Acceptable Use and Account Access

You are responsible for keeping your credentials secure and for all actions taken under your account. You agree not to:

  • Share your login credentials with unauthorized users outside your legal entity.
  • Attempt to decompile, reverse engineer, copy, modify, or create derivative works of the Software or Service.
  • Circumvent plan limits, rate limits, or access controls implemented within the Platform.
  • Use the Service in any way that violates applicable laws or regulations.

7. Intellectual Property Rights

Solmarkt (and its licensors) retains all right, title, and interest, including all intellectual property rights, in and to the Software, Service, database structures, interfaces, and branding. These terms do not transfer any ownership of our intellectual property to you. All reports, designs, and exports generated by you using the Service remain your property.

8. Termination and Suspension

We reserve the right to suspend or terminate your subscription and access to the Service immediately, without notice or liability, if:

  • You fail to make timely payments for your subscription.
  • You breach any provision of these Subscription Terms or the main Terms of Use.
  • Required by regulatory bodies or law enforcement agencies.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLMARKT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL BE CAP-LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Governing Law

These Subscription Terms and any disputes arising out of or related to your subscription will be governed by and construed in accordance with the laws of New Delhi, India, without regard to conflicts of law principles. You submit to the exclusive jurisdiction of the competent courts in that region.
